Private Equity Bets on Jet Aftermarket Parts

💼 Bain Capital Takes Over FDH Aero, Betting on Counter-Cyclical Demand for Aftermarket Parts

Private equity giant Bain Capital announced on June 9, 2026 the acquisition of a majority stake in global aviation parts distributor FDH Aero, taking over from prior investor Audax, with Ian Walsh continuing as CEO. The deal is expected to close in the second half of 2026. This marks another move by Bain into the aviation aftermarket, following its acquisition of APP Jet Center in early 2026 and Aerospace Technologies Group in 2025. Avi-Go data shows that global business jet movements reached 5,372,226 from January to June 2026 (down 5.69% year-on-year), with the absolute volume still at a high level above 5 million. Every flight cycle rigidly consumes seals, fasteners, chemicals, and other Class C parts—precisely the core logic behind private equity's interest in this asset's counter-cyclical cash flow. The long tail of aircraft types further raises distribution value: the Pilatus PC-12 accounted for 24.8% of the Top 10 with 203,191 movements, followed by the Phenom 300 and Citation Latitude, with SKU complexity highlighting the scarcity of cross-OEM integration.

Impact: Although movements declined slightly, the consumption of Class C parts driven by flight cycles is relatively insensitive to cyclical fluctuations, and distribution consolidators gain stronger bargaining power amid fleet diversification. Capital is accelerating its flow into the aftermarket supply chain, which will squeeze the survival space of regional independent parts suppliers.

Recommendation: Operators and FBOs should evaluate changes to FDH Aero's supply terms following integration around the deal closing in the second half of 2026, and lock in long-term agreements for high-frequency consumables in advance. Independent parts suppliers should clarify differentiated positioning or seek merger opportunities before the third quarter of 2026 to avoid being marginalized by scaled platforms.
